Currently, you can open an LLC through the "State Services". This feature is available only to individuals who have their own verified account. It should also be noted that an already registered legal entity can create a personal account on the specified portal and use it to receive certain services.
What do you need to do beforehand?
To open an LLC through State Services, the applicant (eligible person, head of the future organization, founder) must first:
- To issue UKEP - a qualified electronic signature of a reinforced type.
You can get UKEP by contacting the MFC or the corresponding service center. Further, it will allow you to freely use the personal account of a legal entity, as well as interactively perform all the actions associated with the registration of the organization.
- Get a confirmed registration on the portal as an individual, that is, create an account on the portal and confirm it accordingly.
It is important to note that you can create an account of a legal entity only after the account of an individual is confirmed.
The indicated preliminary preparation is necessary; without it, it will not be possible to gain access to the service of opening an LLC through State Services. The user only after the specified manipulations will be able to proceed to the next stage - preparing a package of documents and sending it to the tax authorities for state registration.

So, how to open an LLC through State Services? Let's figure it out. The procedure for remote registration of an organization is carried out in a standard manner. In its relation, general requirements and rules apply. The procedure for registering 129-FZ is regulated. In addition to the specified normative act, the legislative base regarding this issue is supplemented by:
- 54-FZ 0151 regarding the registration and use of CCP.
- 153-I of the Bank of the Russian Federation regarding the accepted procedure for opening a bank account for legal entities.
- 99- - about licensing activities.
- Tax Code of the Russian Federation.
- 14-FZ in terms of the direct order of establishment of organizations.
Features of the procedure for registering an organization online
In addition to a number of services, on the portal you can also find resources that may be useful in order to open an LLC through the State Services. This, for example, links to existing tax services, as well as the ability to search for details of your tax.
The procedure for the applicant should be as follows:
- It is necessary to come up with a company name for the registered organization. It is important to note that the name must be in accordance with the law. It should be invented in compliance with uniqueness and other legal requirements, with the addition of the legal form.
- It is necessary to determine the types of activities (primary and secondary, if necessary) that the registered organization will conduct. Activity codes should be determined in accordance with OKVED.
- Choose a taxation mode. LLC can use the following systems: Unified system of economic activity, UTII, USN, OSNO. OSS is applied by default.
- Define a legal address. The key requirement in this case is the following: the registered legal address is determined by the location of the executive body (or of the person or body authorized to act on behalf of the organization without a power of attorney). The applicant can choose one of the following options: use the home address of the head of the organization or his participant, buy a legal address, rent an office.
- Hold a general meeting with the participation of all parties involved, draw up a Charter, approve it, determine capital (at least 10 thousand rubles), and appoint a director. It is important that all decisions taken at the meeting should be recorded. If the LLC has only one member, then he does all the described actions individually. Everything is documented by drawing up an appropriate decision.
- Write a statement, prepare documentation, pay state duty. The latter has a fixed size and amounts to 4 thousand rubles. You can pay for it on the FTS portal. The procedure for the preparation of documentation is regulated by 12 articles 129-FZ. The procedure for compiling the application is fixed in MMV-7-6 / 25-P Federal Tax Service. A statement should be made in the prescribed form - P11001.
- Submit documentation and application for state registration. Documents can be submitted independently, through the Gosuslug portal or the Federal Tax Service, through a notary public, through a representative acting on the basis of a power of attorney. Documents can be submitted both in paper and in electronic form. When using the Gosuslug portal, documents are sent in electronic version.
- Get tax documents confirming registration. Tax authorities issue within three days. If the applicant submits documents through the State Services, then this period is increased to 5 days. At the hands of the applicant will be issued: a registration certificate, the Charter with a certain mark, a certificate confirming the registration, a register of registration EGREL.

Printing, opening an account
After the registration of the LLC through Gosuslugi is completed, you should sequentially issue a seal, open an account with a banking organization, and obtain a license (if there is such a need). In addition, the appropriate authorities must be notified of the start of activities.
Step-by-step instruction
To open an LLC through State Services is quite simple. After the necessary pre-training has been completed, the applicant comes to the stage of direct registration of the organization. You can do this by simply submitting all the necessary documents to the tax office and waiting for an answer from her.
If registration is carried out on the portal, then the applicant should follow the steps in the following order:
- Pass the authorization procedure on the portal.
- After entering the account, go to the services section.
- Go to the tab marked "Authorities", click on the Federal Tax Service icon.
- In the window that opens, select the required legal entity registration service.
- In the new dialogue, select the desired function among those proposed: "State registration of a legal entity upon creation." After selecting the service will display a brief description of this service. The applicant should indicate the type of receipt required and confirm its action by pressing the appropriate button.
- If you choose online registration, you should again select the column "legal entity" and enter the necessary information in the proposed form. Any subsequent actions, including the delivery of documents, must be performed step by step, following the tooltips and instructions.
- If you choose to send an electronic application, the procedure will be slightly different. First of all, you should install the proposed application, which allows you to create a complete electronic package of papers, including a statement.
- After the formation of the archive of electronic documents, the applicant will have to endorse it using the previously received UKEP, and then send it to the tax authority.
Not everyone knows that you can register an LLC through State Services. If the applicant applies for electronic documents using UKEP using electronic documents, then notarization is not required.
Is it possible to close an LLC through State Services? Yes. To do this, select “Stop activity” from the menu of available operations. The system will redirect the taxpayer in the menu for filling out an application for the liquidation of IP or LLC. Here you will need to not only enter the necessary data (OGRNIP, TIN, etc.), but also load scans of all necessary documents.
Payment of state fees and deadlines
You can also pay a fixed state fee remotely using a special service on the FTS portal. As already noted, the tax office registers the organization within 5 days. After the procedure, the applicant will be invited to issue registration documents.
Registered capital
Regarding the payment of the authorized capital, general norms are used. The founder should contribute his share within the time period indicated in the relevant memorandum of association (or in the decision of one participant). The deadline is the fifth day after the completion of registration of the organization.

First mistake
It should be borne in mind that until a legal entity is registered, creating a legal entity account on the specified portal will fail. To register correctly, you need to perform the steps in the following order:

Second mistake
The tax may refuse to register if the rules for documentation are not followed. For example, an application in a package of necessary papers may be signed exclusively by the applicant himself. The same rule applies to UKEP. If this or any other, legally established, rule is not complied with, the tax will be waived.
It is also important to remember that the registration of an LLC through the Gosuslug portal should begin only after the preliminary preparation described above.
